Due to the perishable nature of food products, all sales are generally final. Refunds or replacements are issued at Wing Snob's sole discretion.

Orders may only be cancelled before they have been prepared by our kitchen. Once an order has entered the preparation stage, it cannot be cancelled or refunded.

IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

IN ALL CASES, WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO WING SNOB IN THE NINETY (90) DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth in this section reflect a fair allocation of risk between Wing Snob and you, and are a fundamental element of the basis of the bargain between you and Wing Snob. Wing Snob would not be able to provide the Services on an economically reasonable basis without these limitations.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") informally. To initiate informal dispute resolution, the party seeking resolution must send written notice to the other party describing the Dispute in detail and the relief sought.

If informal resolution is unsuccessful, any Dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are incorporated herein by reference. The arbitration shall be conducted in English in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

The arbitrator shall have the authority to grant any remedy or relief that a court of competent jurisdiction could order or grant, including but not limited to injunctive relief, declaratory judgment, and compensatory damages. The arbitrator's decision shall be final and binding upon both parties.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13.3 Class Action Waiver

YOU AND WING SNOB EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, YOU AND WING SNOB EACH WAIVE ANY RIGHT TO A JURY TRIAL.

You agree that you may bring claims against Wing Snob only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13.4 Time Limitation on Claims

To the extent permitted by applicable law, any Dispute must be filed within one (1) year after the date the claim arose, or such claim will be permanently barred. If the applicable law does not allow this limitation, then the shortest legally permissible limitation period applicable to such claims shall apply.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or Services. Wing Snob may, in its sole discretion, terminate or suspend your access to all or part of the Services at any time, with or without cause, with or without notice, effective immediately, including without limitation if Wing Snob believes that you have violated these Terms.
